# Referral Program Rules

## **Referral Program Rules for Engaging Creators on the Tribute Service (“Rules”)**

Effective as of August 21, 2025

1. **Company**

   TRBT Limited, Registration No. HE 443898, with its registered office at Griva Digeni 51, ATHINEON COURT, Flat/Office 202, 8047 Paphos, Cyprus (hereinafter the **“Company”**).
2. **Participants**
   1. **Partner** – a current creator of the Tribute service who refers new creators via their referral link.
   2. **Referred Creator** – a new user who has not previously held a Tribute account and who registers through a Partner’s referral link.
3. **Program Term**
   1. The program begins on September 1, 2025 and continues until further notice.
   2. The Company may suspend or terminate the program at any time by publishing a notice on its official resources.
4. **Program Rules**
   1. Each Partner is provided with a unique referral link in their Tribute account.
   2. To qualify, a Referred Creator must register with Tribute using the Partner’s referral link.
   3. Registration is valid only if the Referred Creator has not previously created a Tribute account.
   4. The Partner becomes eligible for a reward once a Referred Creator starts monetizing their content, in accordance with Section 5.
5. **Rewards: Calculation and Payment**
   1. **Reward Basis:** The Partner receives 5% of the total value of all successful transactions made by the Referred Creator (including subscriptions, donations, and sales of digital and physical goods).
   2. The calculation is based on the transaction amount before Tribute’s service fee is deducted.
   3. Exemptions. The following are excluded from the calculation:
   * Refunds, chargebacks, and disputed payments
   * Shipping and handling costs for physical goods
   * Taxes and mandatory fees included in the purchase price
   * Payouts made under the Referred Creator’s own affiliate programs
   * Compensation received by the Referred Creator from third-party advertising or affiliate arrangements integrated into their content (e.g., marketplace revenue)
   * Advertising and promotion costs paid by the Creator through Tribute
6. **Accrual Period**
   1. Rewards accrue for twelve (12) months from the date of the Referred Creator’s first successful transaction.
   2. To allow for potential refunds and disputes, accrued rewards are held for fifteen (15) days before becoming payable.
7. **Payment**
   1. Payments are made twice per month: on the 25th (or the next business day) for the period from the 1st to the 15th, and on the 10th of the following month (or the next business day) for the period from the 16th to the end of the month.
   2. The minimum payout threshold is the same as that specified in the Creator Agreement available at <https://tribute.tg/terms-creator.html>.
   3. If the minimum threshold is not reached, the balance carries forward to the next payout date.
8. **Miscellaneous**
   1. Participation in the program constitutes full acceptance of these Rules and of the Creator Agreement.
   2. Self-referral (using one’s own referral link to register additional accounts) is prohibited.
   3. Referral links may not be distributed in ways that violate applicable law or the rules of third-party platforms (e.g., spam).
   4. In the event of a violation, the Company may exclude the Partner from the program and cancel any accrued but unpaid rewards.
   5. The Company is not responsible for any tax liabilities arising from receipt of rewards. Partners are solely responsible for calculating and paying any taxes owed.
9. **Amendments**
   1. The Company may amend these Rules at any time without prior individual notice.
   2. Amendments take effect upon publication on the Company’s official resources. Participants are responsible for monitoring updates.
10. **Governing Law and Dispute Resolution**

All disputes or claims arising out of or in connection with this program will be resolved in accordance with the laws of the Republic of Cyprus, as provided in the Creator Agreement.
